Terms and Conditions

Wholesale Magnet Supply & Manufacturing Terms

These Terms and Conditions (“Agreement”) govern all wholesale purchases, bulk supply transactions, custom manufacturing orders, and OEM magnetic solutions provided by Neodymium magnetics.

This Agreement applies to all quotations, purchase orders, website transactions, and direct commercial communications.

By submitting an inquiry, accepting a quotation, or placing an order, Buyer agrees to these Terms.


1. Commercial Scope

We operate as a wholesale magnet manufacturer and industrial supplier, providing:
  • Neodymium magnets
  • Magnetic hooks
  • Pot magnets
  • Rubber coated magnets
  • Flexible Magnets
  • Magnetic assemblies
  • Custom OEM magnetic components

All products are sold for commercial, industrial, or resale purposes unless otherwise agreed in writing.


2. Quotations & Order Acceptance

2.1 All quotations are non-binding until confirmed in writing.
2.2 Quotations are valid for the period stated (typically 15–30 days).
2.3 Orders are subject to acceptance by the Company.
2.4 Pricing is based on volume tiers and current raw material conditions.
2.5 We reserve the right to adjust pricing for specification changes or material cost fluctuations.

No contract is formed until written order confirmation is issued.


3. Minimum Order Quantity (MOQ)

Certain products and custom specifications may require a Minimum Order Quantity.
MOQ details will be stated in quotation or product description.


4. Payment Terms

4.1 Accepted payment methods include wire transfer (T/T), ACH, credit card (if applicable), or other approved commercial methods.
4.2 For bulk or custom orders, a deposit may be required prior to production or inventory allocation.
4.3 Remaining balance must be paid before shipment unless Net terms are approved in writing.
4.4 Late payments may result in suspension of production, delayed shipment, or cancellation.
We reserve the right to perform credit checks for extended payment terms.


5. Production & Lead Time

5.1 Lead times provided are estimates and not guarantees.
5.2 Production timelines may vary based on order volume, material availability, and technical requirements.
5.3 Force majeure events may extend delivery timelines.
We are not liable for indirect losses caused by delays beyond reasonable control.


6. Custom Manufacturing & OEM Orders

6.1 Custom or OEM products are manufactured based on Buyer-approved specifications.
6.2 Buyer is solely responsible for confirming:
  • Dimensions
  • Tolerances
  • Magnetic grade
  • Coating
  • Application suitability

6.3 Custom orders are non-returnable and non-refundable except in cases of verified manufacturing defect.
6.4 Manufacturing tolerances consistent with industry standards shall not be considered defects.
6.5 Buyer assumes responsibility for intellectual property compliance of submitted designs.
Sample approval is recommended prior to mass production.


7. Shipping, Title & Risk of Loss

7.1 Title and risk of loss transfer to Buyer upon shipment from our warehouse or production facility.
7.2 Shipping dates are estimates unless otherwise agreed.
7.3 Buyer is responsible for freight damage inspection upon delivery.
7.4 Claims for freight damage must be submitted within five (5) business days.
We are not responsible for carrier delays, customs clearance delays, or external logistics disruptions.


8. Inspection & Acceptance

8.1 Buyer must inspect goods within five (5) business days of receipt.
8.2 Any claim for defect or non-conformity must be submitted in writing with supporting documentation.
8.3 Failure to notify within this period constitutes acceptance.


9. Returns Policy (Standard Products Only)

9.1 Standard stock products may be eligible for return within thirty (30) days.
9.2 Returned items must be unused, undamaged, and in original packaging.
9.3 Return authorization is required prior to shipment.
9.4 Custom, OEM, and special-order products are not eligible for return unless defective.


10. Product Use & Industrial Disclaimer

Magnets are powerful industrial components and may cause injury or damage if improperly handled.

Buyer acknowledges:
  • Load-bearing capacity must be independently tested.
  • Magnets used in engineered, safety-critical, or load-supporting systems require professional evaluation.
  • Improper application voids liability.

We are not responsible for damages arising from misuse, overloading, or improper installation.


11. Warranty Limitation

Unless otherwise stated in writing:
  • Products are warranted to conform to agreed specifications at time of shipment.
  • Warranty is limited to replacement or refund of purchase price.
  • No other express or implied warranties are provided, including fitness for a particular purpose.


12. Limitation of Liability

To the maximum extent permitted by law:
Our total liability shall not exceed the purchase price of the specific order giving rise to the claim.

We shall not be liable for:
  • Indirect damages
  • Consequential damages
  • Lost profits
  • Business interruption
  • Third-party claims


13. Inventory & Allocation

While we maintain significant inventory levels, availability is not guaranteed until order confirmation.

In case of shortage, Buyer may choose:
  • Partial shipment
  • Backorder fulfillment
  • Refund for unavailable quantities


14. Confidentiality

All commercial information, pricing structures, and OEM arrangements are confidential unless otherwise agreed.


15. Intellectual Property

All website content, product images, and technical materials are property of the Company.
Unauthorized reproduction is prohibited.


16. Force Majeure

We are not liable for failure or delay caused by events beyond reasonable control, including but not limited to:
  • Natural disasters
  • Government regulations
  • Supply chain disruption
  • Labor disputes
  • Transportation delays


17. Governing Law & Dispute Resolution

This Agreement shall be governed by applicable United States commercial law.
Any disputes shall be resolved through arbitration or competent courts within designated jurisdiction.


18. Amendments

We reserve the right to modify these Terms at any time. Updated versions will be published on this page.
